True Fitness & True Yoga unable to continue due to liabilities

In an announcement to the Hong Kong Stock Exchange on 10 Sept, parent company Kontafarma China Holdings said the directors of True Yoga and True Fitness had passed resolutions saying they could not continue their businesses owing to their liabilities.

True Fitness and True Yoga come under the True Singapore Group, which also operates TFX and Yoga Edition in Singapore.

All these outlets will cease operations under the creditors’ voluntary winding-up process.

The True Singapore Group recorded revenue of HK$181.2 million (S$29.27 million) in the year that ended on 31 Dec 2025, but a loss of HK$34.3 million (S$5.54 million).

As of that date, it also had net liabilities of HK$405.8 million (S$65.56 million).

According to its unaudited management accounts for the eight months up to 31 Aug, it sustained a loss of HK$19.1 million (S$3.08) during that period, and net liabilities of HK$429.3 million (S$69.36 million) on that date.

It owed Kontafarma group HK$309.7 million (S$50.04) as of the end of last month.

Business faced ‘unprecedented’ challenges in S’pore

Kontafarma said the True Singapore Group faced “unprecedented” challenges, with its fitness business in Singapore continuing to underperform and face significant liquidity pressure.

In particular, it cited increasing popularity of boutique gyms, resulting in “intensifying competition” in the industry.

It also pointed to the higher number of gyms in condominiums and residential developments, as well as online training, mobile applications, video platforms and virtual coaching.

Thus, the fitness business has found it “extremely difficult” to continue amid the “fiercely challenging” market, it added.

CASE concerned over sudden closures

In its post, CASE expressed concern over the impact of sudden business closures on consumers, in particular when consumers had paid for long-term memberships or packages.

It encouraged consumers to exercise caution when making large upfront payments for services, and consider shorter-term payment arrangements if possible.

CASE has reached out to the provisional liquidator and will continue to seek clarification on how affected consumers can arrange to file claims.

Consumers who have unutilised memberships or prepaid packages can call CASE at 6277 5100 or visit www.case.org.sg, it said, adding:

CASE will continue to engage the Government and industry on measures to strengthen consumer protection against prepayment losses.
